These Publisher Terms of Service ("Terms") constitute a legally binding agreement between you ("Publisher," "you," or "your") and LoyalJam, Inc. ("LoyalJam," "we," "our," or "us"). These Terms govern your registration for, access to, and use of LoyalJam’s affiliate, publisher, and referral services and platform, including without limitation all dashboards, APIs, software, hosted content, and other components provided in connection therewith (collectively, the "Services").
By registering for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable supplemental terms. If you do not agree, you may not access or use the Services.
In the event of a separate signed agreement ("Bilateral Agreement") between you and LoyalJam, that agreement shall control in the event of any conflict with these Terms.
1. Definitions
- Account: The publisher or affiliate account created and maintained with LoyalJam.
- Fraudulent Activity: Any activity intended to deceive, mislead, or manipulate tracking, attribution, offers, payout eligibility, or user interaction data. This includes, but is not limited to, bots, proxy masking, spoofing, fake registrations, automated interactions, or false user actions.
- PII: Personally Identifiable Information, including any data that identifies an individual such as name, phone number, IP address, device ID, email, etc.
- Publisher Application: The website, mobile app, or other digital property controlled by the Publisher and used to deliver traffic or display content.
- Payout: Commission paid to Publisher based on valid, completed user actions or conversions, subject to all terms herein.
2. Account Registration and Obligations
To register, you must:
- Be at least 18 years of age and legally capable of entering a binding agreement
- Submit accurate, complete information and documentation as requested (e.g., ID, tax info)
- Maintain up-to-date information in your account
- Not create multiple accounts without prior written approval
You may be disqualified and/or banned if any information is found to be false, incomplete, or misleading.
3. Use of Services and Compliance
You agree to:
- Not access or use the Services in a way that violates any applicable law or regulation
- Not attempt to interfere with the operation or security of the Services
- Not use automated scripts, bots, or scraping tools to collect data or interact with the platform
- Not use VPNs, proxies, or any tools to mask your location or identity
- Not impersonate another person or misrepresent your identity
- Not register more than one account per individual or household without permission
- Not fraudulently complete offers or manipulate referral systems
- Not reproduce, distribute, modify, or publicly display any content unless authorized
- Only deliver genuine user traffic and conversions
- Avoid generating clicks, actions, or leads via incentives, auto-redirects, bots, or any other misleading or automated mechanism
- Ensure content does not include malware, hate speech, violence, copyright infringement, deceptive advertising, or illegal offers
- Comply with all applicable international, federal, state, and local laws, including marketing, data privacy, consumer protection, and spam regulations
LoyalJam reserves the right to:
- Suspend or terminate any account involved in Fraudulent Activity
- Withhold payment for conversions tied to suspicious or invalid activity
4. Tracking, Reporting, and Monitoring
4.1 User Fraud and Invalid Activity
You acknowledge that certain portions of the Services allow users (end users) to complete tasks or engage with offers to earn points, rewards, or credits. LoyalJam strictly prohibits fraudulent user activity and reserves the right to:
- Deny rewards to users who submit fake, incomplete, or manipulated conversions
- Reverse credited rewards if the associated activity is later found to be invalid or non-compliant
- Suspend or permanently ban users who engage in offer abuse, including but not limited to multiple account creation, false identity use, use of VPNs or emulators, or spamming referral links
Publishers are responsible for monitoring user behavior within their apps or sites to the extent technically possible and shall cooperate with LoyalJam in reviewing and remedying suspicious traffic or abuse.
LoyalJam will determine the validity of transactions based on its data. You may access reporting dashboards for real-time performance data. We reserve the right to audit and monitor traffic and performance.
We may:
- Review traffic patterns manually or via automated tools
- Invalidate leads or conversions deemed fraudulent or non-compliant
5. Payments and Taxes
- Payouts will be made in USD via PayPal, bank transfer, or other approved method
- Payments are made within 30 days after the end of each calendar month
- Minimum payout threshold: $250. Amounts below this threshold roll over to the next month
- You must submit a valid invoice and be responsible for all bank fees
- You are solely responsible for all tax obligations in your jurisdiction. LoyalJam does not withhold taxes unless legally required
We reserve the right to withhold or claw back commissions related to:
- Chargebacks, disputes, or fraud
- Violations of these Terms
6. Data Privacy and Security
You agree to:
- Maintain a privacy policy on your site or app that complies with applicable laws (e.g., GDPR, CCPA)
- Obtain lawful user consent before placing cookies or tracking technology
- Never collect or transmit PII without user consent and proper data protection practices
- Notify us immediately if you suspect data misuse or unauthorized access
7. Confidentiality and Intellectual Property
You may not:
- Disclose any confidential information, including non-public data, payout rates, or platform details
- Use LoyalJam’s trademarks, branding, or technology without permission
All rights in the Services, technology, analytics, and systems remain the exclusive property of LoyalJam. You acquire no ownership through access or participation.
8. Termination
LoyalJam may suspend or terminate your account:
- At any time with 30 days’ notice for convenience
- Immediately if you breach these Terms, violate applicable laws, or engage in Fraudulent Activity
Upon termination:
- All access to your account will be revoked
- Any valid earnings through the date of termination will be paid, subject to verification
- If fraud is found, we may withhold all payouts and seek legal remedies
- You must delete all LoyalJam materials and cease representing yourself as affiliated
9. Indemnification
You agree to indemnify and defend LoyalJam, its officers, employees, and affiliates against any third-party claims, damages, or losses related to:
- Your breach of these Terms
- Infringement of IP or rights of others
- Illegal, fraudulent, or deceptive activity under your control
10. Limitation of Liability
To the fullest extent permitted by law:
- LoyalJam shall not be liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the total payout paid to you in the 6-month period preceding the claim
11. DMCA Compliance
If you use copyrighted material, you must comply with U.S. DMCA rules. We may terminate accounts involved in repeated copyright infringement. Send notices to [email protected].
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware. Any disputes will be resolved via binding arbitration under the American Arbitration Association (AAA). You waive any right to jury trial or class action.
Where applicable, the Bilateral Agreement shall control.
13. Amendments
We may modify these Terms at any time. Changes will be posted with the updated date. Continued use of the Services after updates constitutes acceptance.
14. Miscellaneous
- These Terms do not establish a partnership, agency, or employment relationship
- You may not assign your rights or obligations without written consent
- If any part of these Terms is held invalid, the remainder shall remain in effect
